Why This Distinction Exists
Private investment offerings are not available to the general public. The SEC restricts participation in many private securities to investors who meet specific financial or experience thresholds. The logic: investors with sufficient resources or knowledge are better positioned to evaluate and absorb the risk of illiquid, less-regulated investments. Both accredited and sophisticated investors can participate in Emun Capital offerings, but through slightly different regulatory frameworks.
The Accredited Investor Definition
Under SEC Rule 501 of Regulation D, an accredited investor meets at least one of:
- Net worth exceeding $1 million individually or jointly with a spouse, excluding the primary residence.
- Annual income exceeding $200,000 (or $300,000 jointly) in each of the two most recent years, with reasonable expectation of the same this year.
- Certain professional license holders, including Series 7, 65, or 82 licenses.
- Knowledgeable employees of a private fund or certain institutional entities.
The Sophisticated Investor Definition
A sophisticated investor does not necessarily meet those thresholds but has sufficient financial and business knowledge and experience to evaluate the merits and risks of a prospective investment. This is a qualitative standard, not a numerical one. Under Rule 506(b), up to 35 sophisticated but non-accredited investors may participate in a private offering alongside any number of accredited investors, provided the issuer furnishes detailed financial disclosures.
Sophisticated investor status is about knowledge and experience, not just net worth. A real estate professional with deep market expertise may qualify even without meeting the income or wealth thresholds for accredited status.
